What kind of legal action can a director take against the chairman of a company?

There are a total of 2 directors in the company and 1 chairman. What kind of action can the director take if the chairman is siphoning off funds from the company? All three have almost equal number of shares and the other director knows of the wrongdoing...Cant he be removed from the company? Its a private company
